One 97 Communications Limited was incorporated as 'One 97 Communications Private Limited' on 22 December 2000. Subsequently, name of the Company was changed to One 97 Communications Limited on 12 May 2010. The Company is in the business of providing payment and financial services including payment facilitator services, facilitation of consumer and merchant loan distribution to consumers and merchants, wealth management etc. Marketing services which consist of digital products, ticketing business, providing voice &messaging platforms to telecom operators, customers and other business enterprises. During the year 2002-03, the company launched music messaging on mobiles. During the year 2003-04, they launched VAS on landline networks. Also, they launched voice based gaming. During the year 2004-05, the company launched interactive out-dialer services. During the next year, they launched subscription based content services. During the year 2006-07, the company launched enterprise services on the 3030 short code. During the year 2007-08, Oorja Mobile Services Pvt Ltd became the subsidiary of the company, which is engaged in the business of developing, designing, importing, exporting software products and services and developing and providing services in the field of e-commerce, web based or related technology and applications. During the year 2009-10, the company acquired shares in TenCube. Also, they expanded their international operations to Nigeria and Bangladesh. ...In November 16, 2009, the company set up a subsidiary company namely PayTM Mobile Solutions Pvt Ltd for providing business of m-commerce and e-commerce by enabling telecom operators and enterprise merchants to offer m-commerce and e-commerce services like mobile prepaid recharge, postpaid mobile bill payment, landline bill payment, movie ticketing, travel bookings, flower delivery, DVD rental, shopping, utility bill payment to subscribers. In the year 2010, the company launched their website www.paytmonline.com. They signed an MoU with SAIF for launch of One97 Mobility Fund, for investing in the mobile value added services sector. In May 11, 2010, the company was converted into public limited company and the name was changed to One97 Communications Ltd. In July 27, 2010, the company set up a subsidiary company, namely One97 Communications (Nigeria) Ltd for providing the value added services to mobile operators and other enterprise customers. The company intends to expand their geographic presence by leveraging their expertise and track record in offering products that address the needs of international networks and their subscribers as well as enterprises outside India. They intend to expand in South East Asia, Africa and a few pre-paid minutes dominated European markets. They plan to acquire companies to expand their presence internationally. During the month of November 2021,the company came out with an Rs 18300-crore public issue which is the largest ever IPO in Indian Capital Market history.The IPO offer comprised a fresh issue of equity shares amounting to Rs 8300 crore and the rest of Rs 10000 crore through offer for sale mode.The company offered IPO shares at a price of Rs 2150 per share including a premium of Rs 2149 per share.The allotted shares were listed on the BSE Ltd and National Stock Exchange of India Ltd on 18 November 2021. On August 30, 2021 and September 23, 2021, the Company transferred its Online Payment Aggregation Business to its wholly owned subsidiary company viz. Paytm Payments Services Limited, applied with RBI. During FY 2021-22, Admirable Software Limited, which incorporated on August 17, 2021, as a wholly owned subsidiary of Paytm Financial Services Limited (Associate Company of Paytm) has ceased to be subsidiary of the Company. During the year 2022-23, the Company launched Pocket and Music Soundbox 3.0 enabled by 4G technology device. It launched new technology platform that is built with 100% indigenous developed technology in March 2023. In 2023-24, Company made expansion in the field of payments and financial services businesses. It monetized the customers by cross selling various financial & marketing service. Paytm became a ThirdParty Application Provider (TPAP) for the UPI channel, partnering with Axis Bank, HDFC Bank, State Bank of India and YES Bank. The Company has partnered with various banks for existing and new UPI customers and merchants, card acquiring and Bank Identification Number sponsorship for card acceptance offering to merchants, nodal/escrow accounts for merchant fund settlement, FasTag distribution and BBPS. FY 2024-25 marked a pivotal period for Paytm, focusing on its core payments and financial services distribution businesses. Company transitioned to a Third-Party Application Provider (TPAP) for the UPI business, establishing strategic partnerships with leading banks, including Axis Bank, HDFC Bank, State Bank of India, and YES Bank. This transition involved efficiently migrating users from the paytm handles to new bank handles-pthdfc, ptaxis, ptsbi and ptyes. On October 22, 2024, the National Payments Corporation of India (NPCI) granted approval for Paytm to onboard new UPI users. This approval increased the Average Monthly Transacting Users (MTU) from a low of 7.0 Cr in Q3FY 2025 to 7.2 Cr in Q4FY 2025. In FY 2024-25, the Company established new banking partnerships to maintain uninterrupted UPI, card acquiring, nodal account, and BBPS services for both customers and merchants. Paytm Money Limited, a wholly owned subsidiary, has launched Margin Trading Facility (MTF) and is now registered as a Research Analyst to deliver insightful research to investors in FY2025. In 2026, the business has scaled profits across the consumer and merchant businesses. The Company has built India's largest merchant payment business which is profit oriented for the merchant bankers. The Consumer business has been accelerated through wealth management, which include equity broking, margin trade facility & mutual fund distribution, which has moved AI to a digitized shape for the future. The Company pioneered and scaled products like Card Soundbox and Dynamic QR and became the first payment aggregators to enable Credit Line on UPI, widening credit acceptance across its merchant base.
