Nestle India Declares ₹2 Special Dividend; Shares Gain After Announcement

Nestle India declared a special dividend of ₹2 per equity share of face value ₹1 each on Friday, 3 July 2026, according to a stock exchange filing. 

Nestle India shares were trading at ₹1,456.90, up ₹10.70 or 0.74%, on the BSE at 10:31 am following the announcement. 

What Did Nestle India Announce? 

The board approved a special dividend of ₹2 per equity share. The board meeting commenced at 9:30 am and concluded at 9:42 am, according to the filing. 

The company said the special dividend will be paid on its entire issued, subscribed and paid-up equity share capital comprising 1,928,314,320 equity shares. The payout will be made out of the company’s retained earnings. 

Where Will the Payout Come From? 

As of 31 March 2026, Nestle India’s standalone audited financial statements showed retained earnings of ₹51,070.7 million. 

The company said the special dividend will be paid from the balance of ₹7,410.1 million that was reclassified to retained earnings under the Scheme of Arrangement approved by the National Company Law Tribunal (NCLT). 

The filing noted that ₹964.2 million from the reclassified amount had already been capitalised through the issuance of 1:1 bonus equity shares in August 2025. 

When Will Shareholders Be Paid? 

The special dividend shall be paid on and from 30 July 2026, along with the final dividend for FY26. The board has recommended the final dividend, and it is subject to shareholders’ approval at the company’s 67th Annual General Meeting scheduled for 3 July 2026. 

Shareholders whose names appear in the Register of Members or the Register of Beneficial Owners as of the record date of 10 July 2026 will be eligible to receive the dividend, the company said.

Outlook

The final dividend for FY26 awaits shareholder approval at the AGM. Both payouts are scheduled from 30 July 2026 for eligible shareholders on the 10 July 2026 record date.
